  • "Client" or "you" refers to the individual or organization engaging our services or using our website.
  • "Engagement Agreement" refers to the formal contract executed between Cindra and a client for specific consulting services.
  • "Website" refers to the Cindra website and all associated pages and content.

3. Eligibility and Capacity

Our services are intended for business organizations and professionals. By engaging our services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • If representing an organization, you have authority to bind that organization to these terms
  • All information you provide is accurate and complete

4. Service Description

4.1 Scope of Services

Cindra provides business consulting services designed to support organizations in addressing strategic and operational challenges. Our services are advisory in nature and delivered through structured engagements with defined deliverables, timelines, and pricing.

4.2 Service Availability

Services are provided subject to consultant availability and capacity constraints. We reserve the right to decline engagements that fall outside our areas of expertise or where conflicts of interest exist.

4.3 Geographic Limitations

Our services are primarily available to organizations operating in or connected to Hong Kong. Services to clients in other jurisdictions may be subject to additional terms and conditions.

5. Engagement Process

5.1 Initial Consultation

Consultation requests submitted through our website or other channels constitute inquiries about services, not binding commitments. Initial discussions help determine service fit and scope.

5.2 Engagement Agreement

Formal consulting engagements require execution of a written Engagement Agreement specifying scope, deliverables, timeline, fees, and other relevant terms. The Engagement Agreement supersedes these general Terms and Conditions where conflicts exist.

5.3 Scope Changes

Material changes to engagement scope require written amendment to the Engagement Agreement and may affect fees and timeline. We will discuss scope modifications with you before implementation.

6. Fees and Payment

6.1 Fee Structure

Our services are provided on a fixed-fee basis as specified in the Engagement Agreement. Fees are quoted in Hong Kong Dollars (HKD) unless otherwise agreed.

6.2 Payment Terms

Payment terms will be specified in the Engagement Agreement. Typical arrangements include:

  • Deposit payment upon engagement commencement (typically 30-50% of total fee)
  • Remaining balance due upon delivery of final deliverables
  • Payment within 14 days of invoice date

6.3 Late Payment

Late payments may incur interest charges at the rate specified in the Engagement Agreement or the prevailing Hong Kong bank prime rate plus 2% per annum, whichever is lower. We reserve the right to suspend services for overdue accounts.

6.4 Refund Policy

Our refund policy will be specified in the Engagement Agreement. Generally, deposits are non-refundable after engagement commencement, but we will work collaboratively to address any concerns about service quality or deliverables.

7. Client Responsibilities

Successful consulting engagements require active client participation. You agree to:

  • Provide timely access to information, personnel, and resources necessary for service delivery
  • Designate appropriate stakeholders for participation in workshops and interviews
  • Respond to information requests and review deliverables within agreed timeframes
  • Maintain confidentiality of methodologies and materials shared during the engagement
  • Use deliverables and recommendations in accordance with agreed terms

8. Intellectual Property Rights

8.1 Our Intellectual Property

All methodologies, frameworks, analytical tools, and other intellectual property developed by Cindra remain our exclusive property. Engagement deliverables grant you a limited, non-exclusive license to use materials for internal business purposes related to the engagement scope.

8.2 Client Information

You retain all rights to information and materials you provide. By engaging our services, you grant us a limited license to use your information for purposes of service delivery and internal quality improvement.

8.3 Website Content

All content on our website, including text, graphics, logos, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without written permission.

9. Confidentiality

We maintain strict confidentiality regarding client information obtained during engagements. Confidentiality obligations are detailed in the Engagement Agreement and typically include:

  • Non-disclosure of proprietary business information
  • Secure handling of confidential materials
  • Limitations on use of confidential information
  • Post-engagement confidentiality obligations

Exceptions to confidentiality include information required to be disclosed by law, information already in the public domain, and information independently developed without reference to confidential materials.

10. Disclaimers and Limitations

10.1 Advisory Nature of Services

Our services are advisory in nature. We provide analysis, recommendations, and frameworks based on information available at the time of engagement. Final business decisions remain your responsibility.

10.2 No Guarantees

While we employ professional methodologies and draw on extensive experience, we cannot provide assurances regarding specific outcomes or results. Business environments involve inherent uncertainties, and implementation success depends on factors beyond our control.

10.3 Website Availability

We strive to maintain website availability but do not offer assurances regarding uninterrupted access. The website is provided on an "as is" and "as available" basis.

11. Limitation of Liability

To the maximum extent permitted by Hong Kong law:

  • Our total liability for any claims arising from services provided shall not exceed the fees paid for the specific engagement giving rise to the claim
  • We shall not be liable for indirect, consequential, special, or punitive damages, including lost profits or business interruption
  • Claims must be brought within 12 months of the events giving rise to the claim

These limitations do not apply to liability that cannot be excluded under Hong Kong law, including liability for fraud or willful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Cindra, its consultants, and affiliates from claims, damages, and expenses arising from:

  • Your violation of these Terms and Conditions
  • Your violation of any third-party rights
  • Your use of services in a manner inconsistent with their intended purpose
  • Inaccurate or incomplete information you provide

13. Termination

13.1 Termination by Client

You may terminate an engagement according to terms specified in the Engagement Agreement. Termination typically requires written notice and may involve payment for work completed to date.

13.2 Termination by Cindra

We may terminate an engagement for cause, including material breach of agreement terms, non-payment, or circumstances that prevent effective service delivery. We will provide written notice and opportunity to cure where appropriate.

13.3 Effect of Termination

Upon termination, confidentiality obligations survive, fees for work completed become due, and licenses to use deliverables may be limited based on payment status and termination circumstances.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

14.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Hong Kong for resolution of any disputes arising from these terms or our services.

14.3 Informal Resolution

15. General Provisions

15.1 Entire Agreement

These Terms and Conditions, together with any Engagement Agreement and our Privacy Policy, constitute the entire agreement between you and Cindra regarding use of our website and services.

15.2 Severability

If any provision of these terms is found unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer your rights or obligations under these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.

15.5 Notices

16. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our practices, services, or legal requirements. Updated terms will be posted on our website with a revised effective date.

Material changes will be communicated through prominent website notice or direct communication to active clients. Continued use of our website or services following changes constitutes acceptance of revised terms.
